TERMS OF ENGAGEMENT

1. Engagement Overview

These Terms of Engagement govern all services provided by Sandra Chica.

By proceeding with any service, you acknowledge and agree to the terms outlined below.

All work is delivered on a strategic, project-based basis, with scope, timeline, and deliverables defined prior to commencement.

2. Scope and Deliverables

Each engagement includes a clearly defined scope outlined in a proposal, agreement, or invoice.

Work beyond the approved scope may require additional fees and timeline adjustments.

Strategic direction, structural decisions, and foundational recommendations are considered part of the agreed deliverables.

3. Client Participation

Successful outcomes require active participation.

Clients agree to:

Provide accurate and complete information

Submit required materials promptly

Review deliverables within agreed feedback windows

Communicate decisions clearly

Delays in communication or asset submission may affect project timelines.

4. Fees and Payment

Fees and payment schedules are defined prior to project initiation.

A non-refundable deposit is required to secure scheduling.

Remaining balances must be settled according to the agreed payment structure.

Work may be paused if payments are delayed.

All third-party platform subscriptions, hosting, software, or automation tools are the responsibility of the client unless otherwise specified.

5. Revisions and Direction

Each service includes a defined revision structure.

Revisions must remain within the approved strategic direction and scope.

Substantial structural changes, shifts in positioning, or redefined objectives may require a new engagement.

6. Intellectual Property

Upon full payment, final approved deliverables are transferred to the client.

Strategic frameworks, methodologies, systems, and proprietary processes remain the intellectual property of Sandra Chica.

Work may be displayed for portfolio or promotional purposes unless confidentiality is agreed upon in writing.

7. Refund Policy

All services are strategic, customized, and time-based in nature.

Payments made are non-refundable.

Deposits secure project scheduling and cover preparatory strategy work.

If a project is terminated by the client, completed work will be delivered up to the termination date. Outstanding balances for completed phases remain due.

In rare circumstances where services cannot be completed due to provider-related limitations, a proportional resolution may be considered.

8. Data Privacy and Confidentiality

All client information is handled with professional discretion.

Information collected is used solely for evaluation, service delivery, and communication related to the engagement.

Client data is never sold or shared for marketing purposes.

Where third-party platforms are utilized, information may be processed through those systems as necessary for service implementation. These platforms operate under their own policies.

Reasonable safeguards are maintained; however, liability for third-party system breaches is limited.

Clients remain responsible for compliance with data protection regulations within their own jurisdiction.

9. Limitation of Liability

Services provided are strategic and implementation-based.

No guarantees are made regarding revenue, client acquisition volume, or business performance outcomes.

Liability is limited to the total fees paid for the specific engagement.

10. Governing Principles

These terms are governed by applicable laws relevant to the service provider’s jurisdiction.

Any disputes shall be resolved professionally and in good faith prior to formal proceedings.
